VULT Security Terms and Conditions

These Terms and Conditions ("Terms") govern your use of VULT Security™ services, websites, applications, and platforms (collectively, the "Services") provided by VULT Security and its affiliates (collectively, "VULT", "we", "us", or "our"). By accessing or using our Services, you ("User", "you", or "your") agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

We reserve the right to update these Terms at any time without prior notice. Your continued use of the Services following any changes indicates your acceptance of the new Terms.

VULT Security provides identity verification and fraud prevention services, including but not limited to:

• Biometric authentication and liveness detection
• Identity document verification
• Transaction monitoring and approval systems
• Fraud prevention and risk assessment tools
• Compliance and reporting services
• API and SDK integration services

Our Services are designed to help businesses verify customer identities, prevent fraud, and maintain regulatory compliance through advanced biometric and identity verification technologies.

3. User Eligibility and Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration

To access certain Services, you may need to register for a VULT Account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Biometric Data and Privacy

Biometric Information Collection

Our Services may require the collection of biometric information, including facial recognition data. By using our Services, you provide explicit consent for the collection, storage, and processing of your biometric information as described in our Privacy Policy.

Compliance with Biometric Laws

We comply with applicable biometric privacy laws, including:

• Illinois Biometric Information Privacy Act (BIPA)
• Texas Capture or Use of Biometric Identifier Act (CUBI)
• Washington Biometric Privacy Protection Act

You have the right to request deletion of your biometric data as outlined in our Privacy Policy and applicable law.

You agree to use our Services only for lawful purposes and in accordance with these Terms. Prohibited uses include:

• Violating any applicable laws or regulations
• Attempting to circumvent security measures
• Reverse engineering or attempting to extract source code
• Using the Services for fraudulent or deceptive purposes

6. Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by VULT Security or its licensors and are protected by intellectual property laws.

Patents and Proprietary Technology

Our Services incorporate patented and proprietary technologies owned by VULT Security. You acknowledge that these technologies are valuable trade secrets and proprietary information.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for their intended purposes, subject to these Terms.

7. Payment Terms and Billing

If you purchase paid Services, you agree to pay all applicable fees as described in your service agreement or as displayed during the purchase process. Payment terms include:

• Fees are non-refundable unless otherwise specified
• You are responsible for all taxes and fees
• We may suspend or terminate Services for non-payment
• Price changes will be communicated in advance

8. Data Security and Compliance

We maintain industry-standard security measures to protect your data, including:

• SOC 2 Type 2 compliance
• GDPR and CCPA compliance
• PCI-DSS certification for payment data
• HIPAA compliance for healthcare applications
• Encryption of data in transit and at rest

While we implement robust security measures, no system is completely secure. You acknowledge the inherent risks in electronic data transmission and storage.

9. Service Availability and Limitations

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances.

Service Limitations

Our Services are provided "as is" and "as available." We do not warrant that the Services will meet all your requirements or be error-free, though we continuously work to improve service quality.

10. Limitation of Liability

To the maximum extent permitted by law, VULT Security shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VULT Security and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time with or without cause. Upon termination:

• Your access to the Services will cease immediately
• All outstanding fees become due and payable
• We may delete your account and associated data
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Dispute Resolution Process

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may bring individual claims in small claims court.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and VULT Security.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
